01
Agreement and scope
These Terms of Service govern access to molixent.com, Molixent client workspaces, related applications and any freight-coordination services accepted through a quote, order form or other written service confirmation (together, the “Services”). By creating an account, accepting a quote or using the Services, you agree to these Terms on behalf of yourself and, where applicable, your organisation.
“Molixent” means the Molixent contracting entity identified in the applicable quote, order form, invoice or other company details supplied to you. “Customer” means the person or organisation using or purchasing the Services. If you use the Services for an organisation, you confirm that you have authority to bind it.
A signed agreement, accepted quote, service order or carrier-specific condition may add to these Terms. If documents conflict, the signed agreement or service order controls for that shipment, followed by the accepted quote, these Terms and any incorporated operating policy.
02
Molixent’s role
Molixent provides technology-enabled logistics coordination. Depending on the agreed service, this may include collecting shipment requirements, obtaining or presenting freight options, coordinating bookings and pickup, organising documents, displaying tracking updates, managing exceptions and supporting billing reconciliation.
Transportation and related services may be performed by independent carriers, freight partners, customs brokers, warehouse operators, payment providers or other third parties. Unless a written service order expressly says otherwise, Molixent is not the carrier, owner of the goods, manufacturer, seller, exporter of record, importer of record, customs authority, insurer or professional legal or tax adviser.
Third-party services may be subject to their own tariffs, carriage terms, operational rules and liability regimes. Molixent will identify material third-party terms when they are available and relevant to an accepted service.
03
Accounts and authorised users
- Provide accurate registration and company information.
- Keep passwords, verification codes, recovery codes and devices confidential, and use multi-factor authentication when required.
- Give each person their own account and assign only the access they need. Shared credentials are prohibited.
- Promptly remove or suspend access when a person leaves your organisation or no longer requires the Services.
- Notify Molixent promptly if you suspect unauthorised access or misuse.
The Customer is responsible for actions taken through its authorised accounts, except to the extent caused by Molixent’s breach of its own security obligations. Molixent may require identity, company or authority verification before enabling sensitive functions.
04
Enquiries, quotes and availability
A rate enquiry is not a booking. Quotes are based on the information supplied, available carrier capacity, route conditions, exchange rates, fuel and other surcharges, taxes and the stated validity period. A quote expires at the time shown and remains subject to final serviceability, capacity and compliance checks until accepted and confirmed.
Additional charges may apply when actual weight, dimensions, commodity, route, address, handling requirement, customs position or other shipment fact differs from the information used for the quote. Molixent will provide the basis for a material adjustment where reasonably available. Displayed delivery dates and transit times are estimates unless a written service commitment expressly states otherwise.
05
Customer shipment responsibilities
The Customer must:
- provide complete and accurate cargo descriptions, quantities, dimensions, weights, values, addresses, contacts and service needs;
- properly pack, mark and label goods for the selected mode and journey;
- disclose dangerous, restricted, high-value, temperature-sensitive or regulated goods before a quote or booking is accepted;
- obtain and maintain all licences, permits, consents and insurance for which the Customer, owner, exporter or importer is responsible;
- ensure documents and declarations are genuine, lawful, current and supplied by an authorised person; and
- make cargo available at the agreed place and time and provide safe, lawful access for collection or delivery.
The Customer remains responsible for the goods and supplied information. Molixent may rely on that information when coordinating services but may request supporting evidence or refuse instructions that appear unsafe, unlawful or materially incomplete.
06
Prohibited and restricted use
You must not use the Services for unlawful activity or to transport goods prohibited by applicable law, a carrier or an agreed service policy. You must not conceal the nature of cargo, evade sanctions or trade controls, submit false documents, interfere with security controls, access another organisation’s information, scrape the platform, introduce malicious code or attempt to bypass permissions, payment checks or verification.
Restricted goods are accepted only after written confirmation that the relevant route, carrier, packaging, documentation and approval requirements have been satisfied. Silence or a platform-generated status does not constitute approval to move restricted goods.
07
Customs and international movements
For international shipments, the actual exporter of record, importer of record and party responsible for customs declarations must be identified in the shipment documents. The Customer is responsible for the accuracy and completeness of commercial invoices, classification, value, origin, licences and other declarations it supplies.
Duties, taxes, inspections, storage, demurrage, detention and regulatory action may arise outside Molixent’s control. Estimates are not final assessments by an authority. A customs broker or specialist adviser acts under its own appointment and applicable professional obligations.
08
Tracking, documents and communications
Tracking information may be received from carriers, devices, operators or third-party systems and can be delayed, incomplete or corrected. Platform statuses are operational aids and do not replace signed delivery records, customs records, carrier documents or legally required notices.
The Customer authorises Molixent to send service communications to its designated contacts about account security, quotes, bookings, documents, exceptions, invoices and support. Transactional communications may continue where needed to provide the Services even if optional marketing messages are declined.
09
Fees, taxes and payment
The Customer must pay accepted charges, applicable taxes and authorised adjustments by the due date and in the stated currency. Payment terms, credit limits, deposits and late consequences are those shown in the applicable quote, invoice, service order or approved credit arrangement.
Raise a good-faith billing query promptly with the shipment and invoice reference and the disputed amount. Unless applicable law or a written agreement requires otherwise, an unresolved dispute does not excuse payment of undisputed amounts.
10
Changes, cancellation and failed delivery
Change and cancellation requests are effective only when accepted by Molixent and the relevant service provider. Charges already incurred, carrier cancellation fees, storage, return, redelivery, customs or handling costs may remain payable. Refund eligibility and timing depend on the accepted quote, carrier terms, payment method and applicable law.
If pickup or delivery cannot be completed because instructions, access, documents, payment or recipient availability are missing, Molixent may coordinate storage, return or another reasonable disposition at the Customer’s cost, subject to applicable law and prior notice where practicable.
11
Platform rights and customer content
Molixent and its licensors retain all rights in the platform, software, interfaces, designs, trade names, documentation and service materials. Subject to these Terms, Molixent grants the Customer a limited, non-exclusive, non-transferable right to use the platform for its internal business and agreed shipment activity.
The Customer retains ownership of information and documents it submits. It grants Molixent and its service providers the rights reasonably needed to host, validate, reproduce, transmit and use that content to provide, secure, support and comply with law in relation to the Services. The Customer confirms it has authority to provide content concerning other people and organisations.
Feedback may be used to improve the Services without identifying the person who supplied it or disclosing the Customer’s confidential information.
12
Confidentiality and privacy
Each party must protect the other party’s non-public business, operational and technical information using reasonable care and use it only for the relationship, except where disclosure is authorised or required by law. These obligations do not cover information lawfully public, already known without restriction, independently developed or lawfully received from another source.
Molixent processes personal data as described in the Privacy Policy. Where a separate data-processing agreement is required, the signed agreement controls for that processing.
13
Availability, suspension and termination
Molixent aims to provide reliable Services but does not promise uninterrupted availability. Maintenance, provider outages, network failures, security events, regulatory action and events beyond reasonable control may affect access or operations.
Molixent may restrict or suspend access where reasonably necessary to protect users or systems, investigate suspected misuse, comply with law, manage non-payment or address a material breach. Where lawful and practicable, Molixent will provide notice and an opportunity to remedy. Either party may terminate an ongoing service relationship as permitted by its signed agreement or service order. Accrued payment, confidentiality, intellectual-property, liability, dispute and record-retention provisions survive as appropriate.
14
Warranties and responsibility for loss
Service standard
Molixent will provide its own coordination and platform services with reasonable skill and care. Except for express commitments in a signed agreement or service order, the Services are provided on an “as available” basis and implied warranties are excluded to the extent permitted by law.
Third-party transport
Loss, damage, delay or non-delivery involving a carrier or other service provider may be governed by that provider’s terms and mandatory transport law. Molixent will reasonably assist with a properly documented claim but does not guarantee its acceptance or payment.
Limitations
To the extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, or for lost profit, revenue, opportunity, goodwill or anticipated savings. Any financial cap or shipment-specific liability allocation stated in an accepted quote, service order or signed agreement applies. Nothing in these Terms excludes liability that applicable law does not allow a party to exclude or limit.
15
Claims and indemnity
Notify Molixent promptly of loss, damage, delay, billing error or another claim and provide the shipment reference, nature of the issue, claimed amount and available evidence. Carrier or statutory notice periods may be short; delay can affect recovery rights.
To the extent permitted by law, the Customer is responsible for claims, penalties, duties and reasonable costs arising from its unlawful goods, inaccurate declarations, inadequate packaging, lack of authority, infringement of third-party rights or material breach of these Terms, except to the extent caused by Molixent’s breach, negligence or wilful misconduct.
16
General legal terms
Neither party is responsible for delay caused by events beyond its reasonable control, but the affected party must take reasonable steps to reduce the impact. Neither party may assign a signed service arrangement without the other’s consent, except as part of a genuine corporate reorganisation or transfer of the relevant business with continuing obligations.
If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions continue. Failure to enforce a provision is not a waiver. These Terms do not create a partnership, employment relationship or agency except for a specific written agency appointment.
The agreement is governed by the laws of India, without overriding mandatory rights that apply to you. The parties should first try in good faith to resolve a dispute through their authorised representatives. If that fails, courts of competent jurisdiction connected with Molixent’s registered office will have jurisdiction unless a signed agreement or mandatory law provides otherwise.
17
Updates and contact
Molixent may update these Terms to reflect service, security, legal or operational changes. The updated version will show a new effective date. Material changes will be communicated through the platform, email or another reasonable channel before they take effect when required. Continued use after the effective date constitutes acceptance only to the extent permitted by law; separately accepted service orders remain governed by their stated version and terms.
Questions or legal notices may be sent through the Contact Us page, by email to business@molixent.com or by phone at +91 82875 73850. Formal notices under a signed agreement should also follow the notice method stated in that agreement.
For account-specific or shipment-specific questions, contact the Molixent team before relying on a general policy statement.
